Terms of Service

Davide Filippini / Keryx Design

These Terms govern every professional engagement given to Davide Filippini / Keryx Design. They form an integral part of every accepted quote. Accepting a quote in any form — signature, signed PDF, email confirmation, transfer of the deposit — counts as full acceptance of these Terms.

Version 1.13 · updated 11/08/2026

Governing language

The Italian text of these Terms is the legally binding version. What follows on this page is a section-by-section guide in English, provided so an international client can read the structure and the substance before signing.

Where the two differ, the Italian prevails. The full text is here: Condizioni di Lavoro. Before any engagement I send it to you in full, and I answer questions on any clause in writing.

Article 1 — Scope of services

What Keryx supplies: direct response design, editorial typesetting, website and landing page design, print-ready file preparation. The signed quote defines the specific deliverables for your engagement; anything not listed there is not included.

Article 2 — Payment and invoicing

Payment structure by engagement value, deposit and balance, invoicing terms. Amounts are stated net of any tax due in your own country — see the billing guide.

Article 3 — Timelines and client response times

The start date is the day on which all the conditions are met at once: accepted quote, deposit received, complete material in hand. The article also sets how long you have to return feedback before the timeline shifts.

Article 3.bis — Keryx's own start deadline

The quote states, for each engagement, the deadline by which Keryx must begin work, and what you are entitled to if that deadline is missed. The obligation runs in both directions.

Article 4 — Project scope and client requests

The signed brief (or equivalent onboarding document) freezes the scope. Revision rounds included, what counts as a new request, and how additional work is quoted before it is carried out.

Article 5 — Client obligations and responsibility

You are solely responsible for the truthfulness, accuracy and lawfulness of the material you supply — text, images, claims, licences.

Article 6 — Intellectual property and licensing

On full payment you acquire a full, perpetual, non-exclusive usage licence over the final files. The article also covers source files, third-party fonts and stock assets, and Keryx's right to show the work in its portfolio.

Article 7 — Printing and physical production

Keryx prepares files to professional print standards (CMYK, bleed, crop marks, adequate resolution). The print contract itself is between you and your printer; how proofs and colour variance are handled is set out here.

Article 8 — Confidentiality

Both parties keep confidential the sensitive information exchanged during the project. Manuscripts and unpublished material are used only for your project.

Article 9 — Personal data protection (GDPR)

Keryx's role when processing personal data on your behalf, and the safeguards applied. See also the privacy policy.

Article 10 — Limitation of liability

Keryx's total liability to the client, on any grounds, is capped at the amount paid for the engagement in question. Commercial results are expressly not warranted: they depend on your market, your offer and your copy.

Article 10.bis — Post-delivery execution warranty

Keryx warrants that delivered material matches what you approved. The article sets the window for reporting an execution defect and what is put right at no charge.

Article 11 — Termination

You may terminate at any time, in writing. What has been produced up to that point, and what has been paid, are settled according to the phases completed.

Article 11.bis — Keryx unable to continue

Design and creative execution are carried out personally by Davide Filippini. This article covers what happens, and what you get back, if he is prevented from continuing.

Article 11.ter — Consumer right of withdrawal

Applies where the client is acting as a consumer, outside any business activity. Statutory withdrawal rights and the effect of asking work to begin during the withdrawal period.

Article 12 — Governing law and jurisdiction

Keryx Design is established in Albania, and the engagement is governed accordingly. The article distinguishes business clients from consumers, and states the competent forum for each. Read this article in the Italian text before signing.

Article 13 — Miscellaneous

Amendments to these Terms are valid only if agreed in writing between the parties. Severability, notices, and the effect of a clause being held unenforceable.

Want the whole thing before you commit? Write to [email protected] and I send the full Terms plus a plain-English answer to any clause you want explained. Nobody signs anything here without having read it.
